In Delaware, there are three popular types of company structure:<\/p>\n<p><strong>Doing Business As \u201cDBA\u201d<\/strong><\/p>\n<p>A business has both \u201cLegal Name\u201d and \u201cTrue Name\u201d whereas the name of the business may be different from its registered or legal name.<\/p>\n<p><strong>Limited Liability Company \u201cLLC\u201d<\/strong><\/p>\n<ul>\n<li>The simplest to establish.<\/li>\n<li>Flexible and requires minimal maintenance.<\/li>\n<li>Tax benefits and implications.<\/li>\n<li>Requires fewer administrative formalities and procedures.<\/li>\n<li>The liabilities of the members are limited to their investment.<\/li>\n<li>Does not require a minimum capital.<\/li>\n<\/ul>\n<p><strong>Corporation<\/strong><\/p>\n<ul>\n<li>The ownership of the company is in the form of shareholder stocks.<\/li>\n<li>Managed by directors who are elected through an annual stockholder meeting.<\/li>\n<li>Mandatory for certain occupations such as architects, lawyers, doctors, etc.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ol start=\"2\">\n<li><strong><u>Choosing The Business Name:<\/u><\/strong><\/li>\n<\/ol>\n<p>When choosing the name for your business, you must first make sure that it is not already registered with the Delaware Secretary of State. You can check your proposed company name within\u00a0<u>Delaware\u2019s business name database.<\/u>\u00a0According to Delaware law, the name must include for Company, Corporation, Association, Co., Inc., etc. which can be amended in the future.<\/p>\n<ol start=\"3\">\n<li><strong><u>Appoint a Registered Agent:<\/u><\/strong><\/li>\n<\/ol>\n<p>Delaware corporations are required to have a registered agent in Delaware who can either be an individual or an entity and is authorized to conduct business in the state of Delaware. The list of Registered Agents is on the Delaware Division of Corporations website. The Registered Agent will receive all legal documents on behalf of the company. You may act as your own registered agent if your startup is physically located in Delaware.<\/p>\n<ol start=\"4\">\n<li><strong><u>Obtaining Federal EIN:<\/u><\/strong><\/li>\n<\/ol>\n<p>The Federal Employer Identification Number must be obtained before opening the bank account. The EIN protects the business owner from identity theft, as it acts as a social security number.<\/p>\n<ol start=\"5\">\n<li><strong><u>Submitting The Forms:<\/u><\/strong><\/li>\n<\/ol>\n<p><strong>\u201cDoing Business As\u201d<\/strong><br \/>\nDBAs paperwork is submitted by the county.<\/p>\n<p><strong>LLC and Corporation:<\/strong><br \/>\nForms and certificates are filed with the Delaware Department of State Division of Corporations.<\/p>\n<ol start=\"6\">\n<li><strong><u>The Cost of Registration:<\/u><\/strong><\/li>\n<\/ol>\n<p>The cost to register depends on the structure of the business. For example, In the case of LLC, the filing fee is $90, and a certified copy of the filing is $50.
